What you own and where the money goes
What you own
Each club deal is made through a special purpose vehicle (SPV) that invests in the shares of one company.
A commitment made in the App is a request to take part in the club deal. Your participation becomes final only when you have signed the offering documents of the vehicle, the vehicle has accepted your subscription and your transfer has been received.
If a deal does not close
We may refuse, reduce or cancel a commitment, for example if the deal is fully subscribed, if the verification is not approved, or for legal reasons. Closing dates shown in the App are indicative and may change. If a deal does not close or your commitment is not accepted, the amount received is returned by the same method used for the payment (bank transfer or crypto), net only of bank charges or network fees.
How and when the money is used
The minimum investment is USD 100,000 per club deal; for investors resident in the United States it is USD 200,000 for individuals and USD 1,000,000 for entities. Each investment is paid in full, by bank transfer or in crypto (BTC, ETH, USDT or USDC), separately from the club access subscription.
Exit: when the shares are sold (after the company's initial public offering and the end of the lock-up period, or if the company is sold), Unicorn Private decides when and how to sell them. The net proceeds, after the costs of the vehicle and the 20% of the gain, are distributed to members in proportion to their interests, at the member's choice by bank transfer in USD or in stablecoin (USDC or USDT) to the address indicated by the member.
Fees
Costs: Unicorn Private retains 20% of the gain realized at exit, calculated only on the gain actually realized, and charges no annual management fee. The actual costs of the vehicle (formation, administration, purchase and sale of the shares) are borne by the vehicle at actual cost, without any mark-up, as described in the offering documents.
Membership: $99 per month or $890 per year. It is not an investment and is not invested.
These points come from section 6 of the Terms of use, which prevail.
Investing involves the risk of losing capital.
